Terms and conditions

1. Definitions

• The Service: the eachr SaaS platform, available at app.eachr.co. It includes a core (employee records, documents, staff register, org chart, exports, employee workspace) and seven modules that can be switched on: expense reports, absences, time and activities, payroll (variable elements and payslip distribution), communication, onboarding and offboarding, HR reminders.
• The Client: the legal entity or individual, acting in a professional capacity, whose employees are managed in the Service and who subscribes to the plan.
• The Operator: the person who administers the eachr account and creates the Client in it, whether a freelance office manager, an accountant, an HR consultant or the Client's own manager.
• The User: anyone with access to the Service, in particular the Client's employees and managers.

2. Purpose and acceptance

These terms include a sales part (free trial, subscription, pricing, billing, term, cancellation, refunds, referral program) and a usage part (account, use of the Service, availability, data, intellectual property, liability). They apply to the exclusion of any other terms, including the Client's purchasing conditions.

Activating the subscription constitutes acceptance by the Client. An Operator who creates an account accepts them for their own use of the Service.

3. Free trial

Every Client created in the Service gets a 14-day free trial with full access, no card required. At the end of the trial, if the subscription hasn't been activated, access to the Service is locked and the data is kept: activating later restores access.

A trial still in progress continues after activation. The first payment happens at the end of the 14 days.

4. Subscription and activation

The subscription is activated on a secure Stripe payment page, either directly from the Client's workspace or through the activation link the Operator sends to the Client's authorized person. That link is valid for 14 days and can be sent again. The person activating chooses the billing period, enters the payment method and accepts these terms.

The contract is concluded between EACHR and the Client. The Operator administers the Client's workspace on its behalf and does not owe the subscription, except when subscribing for their own company.

5. Pricing

The price is expressed per employee per month, excluding VAT, every module included, with a choice of two billing periods: yearly, paid upfront for twelve months, or monthly, paid each month. Current prices are published at eachr.co/pricing and shown again before any payment.

The billed headcount is the Client's active, i.e. non-archived, employees, with a minimum of one employee.

EACHR may change its prices. Any increase is notified by email at least 30 days in advance and only applies from the next renewal.

6. Billing and payment

Payment is made by card through Stripe, a payment service provider. EACHR stores no card data. Invoices are available in the billing portal accessible from the Service.

The billed headcount is adjusted automatically during the period: adding an employee is billed immediately, prorated over the remaining period, and removing an employee produces a credit applied to the next invoices.

If a payment fails, Stripe retries the charge and access is kept during those retries. Failing settlement after a formal notice that remains unanswered for 15 days, EACHR may suspend access to the Service until payment.

7. Term and renewal

The monthly subscription runs for one month and renews automatically every month. The yearly subscription runs for twelve months and renews automatically for twelve months at each renewal date, based on the active headcount on that date.

Moving from monthly to yearly is possible at any time. Moving from yearly to monthly takes effect at the yearly renewal date.

8. Cancellation

The Client may cancel the subscription at any time from the billing portal accessible in the Service, free of charge and without giving a reason. Cancellation takes effect at the end of the current period, monthly or yearly: access is kept until that date and the subscription doesn't renew. Until that date, the cancellation can be undone from the same portal.

EACHR may terminate the subscription in case of serious breach of these terms, including fraudulent use, security violations or persistent non-payment.

9. Refunds

Amounts paid for a period already started, monthly or yearly, are earned by EACHR. Cancelling during a period gives no right to a refund, in full or in part, of the remaining months. The yearly rate, 25% cheaper than monthly, is the counterpart of that twelve-month commitment. The 14-day free trial and the monthly plan let you use the Service without a yearly commitment.

Credits from removing employees are applied to the next invoices and are not refunded in cash.

As an exception, EACHR refunds or credits:

• amounts billed by mistake on its part, as soon as reported to contact@eachr.co;
• the prorated amount of the full months remaining in the yearly period when the Client cancels, before it takes effect, following a substantial change to these terms that is unfavourable to them.

10. Referral program

An Operator who brings a Client into the Service earns a commission of 20% of the amount excluding VAT invoiced and collected by EACHR for that Client's subscription, on every payment and for as long as the subscription remains active. No commission is due on unpaid or refunded amounts.

The commission is paid by SEPA transfer against a referral invoice issued by the Operator, who must have a business structure able to invoice. Practical details are described on the Partners page.

11. Account

You are responsible for keeping your credentials confidential. Any action performed from your account is deemed performed by you. If you suspect unauthorized use, contact EACHR immediately at contact@eachr.co.

The Operator and the Client grant and revoke User access under their own responsibility.

12. Use of the Service

The Client and the Operator use the Service in compliance with the law, in particular labour law and personal data regulations, and inform Users of the processing carried out.

It is forbidden to use the Service for unlawful purposes, to attempt to compromise its security, to extract its data other than through the provided exports, to resell it or to grant access to third parties outside the framework provided for the Operator.

13. Availability

EACHR uses reasonable means to keep the Service available 24/7 but cannot guarantee absolute availability. Interruptions for maintenance, updates or events outside EACHR's control may occur.

14. Client data

Data entered into the Service remains the property of the Client. EACHR only uses it to deliver the Service.

Upon termination, the Client has 60 days to export their data. Beyond that, data may be deleted, subject to legal retention obligations, notably accounting.

15. Intellectual property

EACHR retains all intellectual property rights to the software, its interface, its trademark and its content. No rights are granted to the User beyond a personal, non-transferable right of use, limited to the duration of the subscription.

16. Liability

EACHR uses reasonable means to deliver a reliable and secure Service. EACHR's liability under this contract is capped at the amounts actually paid by the Client over the 12 months preceding the triggering event.

EACHR cannot be held liable for indirect damages such as loss of revenue, loss of opportunity or damage to image.

17. Force majeure

Neither party is liable for a failure resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code.

18. Personal data

The processing of personal data is described in the Privacy policy. The data processing agreement (DPA) is part of these terms.

19. Changes

EACHR may modify these terms at any time. Substantial changes are notified by email and take effect 30 days after notification. Price changes follow the Pricing article.

20. Governing law and jurisdiction

These terms are governed by French law. Failing amicable resolution, disputes will be brought before the competent courts of Dijon.
